This document was drafted from the Hypertide source code, not by counsel. No lawyer has reviewed it. It has not been checked against the law of any country, it does not name a legal entity, and several clauses are unfinished placeholders marked like [[ OPERATOR ]].

It is published because the app already links here and showing you the trading screen instead of a legal document would be worse. Treat it as an honest description of how the software behaves and what we intend the deal to be — not as a finished, enforceable agreement. It must be reviewed by a qualified lawyer before Hypertide is marketed or launched publicly.

Hypertide is software that copies the trades of other Hyperliquid accounts into your own. You keep your money and your main wallet key. You also keep every loss.

1. What Hypertide is

Hypertide is a non-custodial copy-trading tool for perpetual futures on Hyperliquid. It is delivered as a Telegram bot, a Telegram Mini-App and a web app; all three are the same service and these terms cover all of them.

You pick one or more leaders — Hyperliquid accounts, identified by their public addresses. When a leader's account fills a trade, Hypertide sizes an equivalent order against your Hyperliquid account, applies the limits you configured, and submits it. Your funds stay in your own Hyperliquid account throughout. Hypertide never holds, pools, or takes deposits of your money, and it is not a broker, exchange, custodian, fund, or asset manager.

2. Eligibility and where you may use this

Be aware: we do not currently verify your location, and no geographic blocking is in place. The fact that the service loads in your country is not a representation by us that using it there is lawful. Deciding that is your responsibility.

3. Your account and identity

You can arrive through Telegram or through the web. An account may exist with only a Telegram identity (before you connect a wallet) or only a wallet (if you started on the web); the two halves merge when you bind a wallet. One wallet per account.

You are responsible for the security of whatever gets you in — your Telegram account, your wallet, your email at our embedded-wallet provider, and any device holding them. Anyone who controls those can control your copy settings. We cannot undo trades placed by someone who reached your account through your own credentials.

4. The agent wallet — what we hold

This is the part people most often get wrong about "non-custodial", so it is stated plainly.

Hypertide generates and holds a private key on your behalf. When you connect, our server creates a fresh keypair — the agent wallet — and keeps its private key, encrypted at rest with AES-256-GCM authenticated encryption under a key that lives in our server environment rather than the database. You then sign two off-chain messages to Hyperliquid: one approving that agent to act for your account, and one approving a maximum builder-fee rate. Neither is a blockchain transaction, neither costs gas, and neither moves any funds.

Your main wallet key is never sent to us and never leaves your wallet. We do not have it and cannot reconstruct it.

Read this twice

A key that can trade can lose your money. The agent cannot steal your funds, but it can open leveraged positions that are liquidated. "Non-custodial" limits theft. It does not limit loss.

The agent has an expiry set at approval time and can be replaced at any moment by registering a fresh agent of the same name on Hyperliquid, which supersedes ours. We may rotate, expire or deactivate an agent for operational or security reasons; if we do, copying stops until you approve a new one.

5. How copying works — and where it does not

Copying is a best-effort mirror, not a synchronised account. Specifically:

6. Leaders are independent third parties

Leaders are ordinary Hyperliquid accounts. Most are discovered automatically from Hyperliquid's public leaderboard using activity filters (minimum account value and trading volume); some are added by us. In every case:

Statistics, trust scores, backtests and hypothetical copier returns shown in the app are modelled. They are computed from historical public data, may exclude some costs, and describe what would have happened. They are not results you or anyone else achieved.

7. Fees

Hypertide earns in exactly one way: a Hyperliquid builder fee. Every order we submit for you carries a tag naming our builder address and a fee rate. Hyperliquid charges that fee on the filled notional and pays it to us. We never debit your account ourselves.

We charge no subscription, no deposit fee, no withdrawal fee, no performance fee and no spread markup, and there is no Hypertide token. But the builder fee is not the only cost of trading: Hyperliquid charges its own trading fees, you pay or receive funding on open perpetual positions, and Hyperliquid charges a withdrawal fee. Those are Hyperliquid's, not ours, and they apply whether or not you use Hypertide.

We may change our fee rates. Changes apply to orders placed after the change; your on-chain approved maximum remains the ceiling, and raising the rate beyond it would require you to approve a new maximum.

9. No investment advice, no fiduciary relationship

Hypertide is execution software. Nothing in the app, in our messages, on our website, in our rankings, or in anything we publish is investment advice, financial advice, tax advice, legal advice, a solicitation, or a recommendation to buy or sell anything. We do not assess whether copy-trading, leverage, any leader, or any position is suitable for you — we do not know your circumstances and do not ask.

We are not your broker, adviser, agent, trustee or fiduciary, and no fiduciary or advisory relationship arises from your use of the service. You make every decision about what to copy, how much, and when to stop.

11. The service depends on other people's systems

Hypertide sits on top of third parties we do not control: Hyperliquid (the exchange and its API), Telegram (the bot and Mini-App), our hosting provider, and the wallet infrastructure you connect with. If any of them change their API, restrict access, suspend our accounts, go offline, or shut down, Hypertide may degrade or stop working, possibly without warning and possibly while you hold open positions.

We provide no uptime commitment and no service level. We may suspend, limit, or discontinue any part of the service — including copying itself — at any time, for maintenance, safety, legal reasons, or no reason. Where it is practical to warn you first, we will try.

Your positions survive us. If Hypertide stops, your funds and any open positions remain in your own Hyperliquid account and you manage them directly on Hyperliquid.

We may run a referral programme that shares part of the builder fee earned from users you introduce. Where it is live, the published programme rules — share, caps, qualification and payout thresholds — form part of these terms. Rewards are discretionary and may be changed, withheld or reversed if the underlying activity is fraudulent, self-referred, reversed, or the result of coordinated abuse. Nothing about a referral programme is an investment, a security, or a promise of income.

14. Stopping, revoking and termination

You can stop at any time, and you do not need our cooperation to do it:

Revoking does not close your positions

Revoking the agent, deleting a copy configuration, or deleting your Hypertide account stops us from trading — it does not flatten anything you already hold. Any open positions stay open, still leveraged, still liquidatable, until you close them on Hyperliquid. If you revoke while holding copied positions, you are now managing them yourself.

We may suspend or terminate your access if you breach these terms, if we are required to, or if we reasonably believe continued access creates a legal or safety risk. Sections that by their nature should survive termination — fees already incurred, disclaimers, liability limits, governing law — do.

15. No warranty

The service is provided "as is" and "as available", with all faults. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of any data or statistic, and uninterrupted or error-free operation. No advice or information you get from us creates any warranty.

Our code has not been audited by an independent security firm, and it is not open source. We say so plainly rather than implying assurance we have not earned.

16. Limitation of liability

To the fullest extent permitted by law:

Some jurisdictions do not allow certain exclusions or limitations, and nothing here excludes liability that cannot lawfully be excluded — including for fraud or fraudulent misrepresentation. [[ OPERATOR: consumer-law carve-outs need to be drafted for each market you serve. ]]

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your unlawful use of the service, or your violation of anyone else's rights.

17. Changes to these terms

We may update these terms. The "last updated" date at the top always reflects the current version. If a change materially reduces your rights, we will try to tell you in the app or by message before it takes effect. Continuing to use the service after a change means you accept it; if you do not, stop using the service and revoke the agent.

Open items before launch

  1. Name the operating legal entity, company number and registered address (§1, §19).
  2. Insert the restricted-jurisdiction list on legal advice (§2), and decide whether to implement geo-blocking rather than relying on this clause.
  3. Confirm the fee rates and VIP threshold in §7 match the deployed environment.
  4. Choose a liability cap and consumer-law carve-outs (§16).
  5. Choose governing law, venue and dispute mechanism (§18).
  6. Have the whole document reviewed by a qualified lawyer in each market served.
